Terms and Waiver

YOU MUST READ AND ACKNOWLEDGE THESE TERMS BEFORE PROCEEDING WITH YOUR PURCHASE:

By proceeding to purchase a partial or complete interest in an animal, you understand and agree to the following:

Parties to the AgreementThe Purchaser in this transaction is you. The Vendor in this transaction is Breton Beef.
OwnershipYour purchase is in and for a living animal (the “Animal”), and not only for the meat produced following butchering. You will hold a beneficial interest in the Animal. However, the Vendor will maintain the care and control of the Animal in accordance with applicable legislation until it has been retrieved, delivered, or otherwise provided to you.
The Vendor is the legal and beneficial owner of, and has good and marketable title to, any Animal being sold free and clear of all encumbrances.
Care and ControlYou irrevocably assign any and all right you have to the care and control of the Animal to the Vendor, including how the Animal is raised, cared for, maintained, transported, slaughtered, and butchered.
State of AssetsNotwithstanding that you are purchasing the living Animal, you agree that you are doing so on an “as is” basis, as of the Delivery Date, and the Vendor will not be delivering a living Animal to you.
Non-GuaranteeYou acknowledge that certain details of this transaction are not guaranteed, including, but not limited to: where the Animal is raised, slaughtered, and butchered, how much the Animal weighs at the time of slaughter, and exact completion and/or date of delivery.
Purchase PriceThe current proposed pricing is set out on the final order page and is subject to change until your order has been confirmed.
DepositA deposit of 50% of the total Purchase Price is due immediately upon placing your order. The balance of the purchase price is due upon confirmation of estimated delivery date.
CurrencyExcept where otherwise agreed upon in writing, all monetary amounts relating to this transaction are stated and shall be paid in Canadian currency.
RevenueThe Vendor shall be entitled to all profits, revenues, benefits and accounts receivable related to the Animal arising prior to and including the delivery date.
ClosingUpon completion of this transaction, the Vendor will deliver to the Purchaser: possession of the Animal, duly processed, a bill of sale regarding the assets, such further documents and assurances as may be reasonably required by the Purchaser or their Agents or Assignees in order to complete the transaction contemplated herein.
InvalidityEach of the provisions contained herein is distinct and severable and a determination of illegality, invalidity or unenforceability of any such provision or part hereof by a court of competent jurisdiction shall not affect the validity or enforceability of any other provision hereof.
Scope of AgreementUnless otherwise agreed to in writing, the terms contained herein constitute the only terms relating to this transaction to which the parties are bound.
Governing LawThis transaction shall be governed by the law of Alberta and each of the parties hereby attorn to the jurisdiction of the courts of Alberta.
Digital TransmissionBy proceeding, you agree to the terms of this transaction noted above.
